ZAGENO Supplier Code of Conduct

ZAGENO’s purpose as a life science marketplace is to enable the success of research scientists to achieve breakthroughs. We understand that supply chains that support this research must adhere to responsible business practices. We can achieve our purpose by working closely with our Supplier Partners. ZAGENO’s guiding principles apply to all our employees and provide the foundation for our operations globally by addressing five areas of responsible business practices: ethics, labor, health and safety, environment, and management systems. Our Supplier Code of Conduct enlists our Supply Partners in upholding these same principles. We believe this joint commitment to ethical conduct and integrity is a strong foundation for trusted business relationships that create shared value.

ETHICS

We expect our Supplier Partners to conduct their business in an ethical manner and act with integrity. We expect our Supplier Partners to:

  • Avoid all forms of corruption, extortion, and embezzlement.
  • Never offer or accept bribes or participate in other illegal inducements in business or government relationships.
  • Compete fairly and ethically and in compliance with all applicable anti-trust laws.
  • Work with their own suppliers to promote business conduct consistent with the principles in this Code.
  • Encourage all workers to report concerns or illegal activities in the workplace without threat of reprisal, intimidation, or harassment. Supplier Partners will investigate and take corrective action if needed.
  • Treat animals humanely with pain and stress minimized. Animal testing should be performed after consideration to replace animals, to reduce the numbers of animals used, or to refine procedures to minimize distress. Alternatives should be used wherever these are scientifically valid and acceptable to regulators.
  • Safeguard and make only proper use of confidential information to ensure that company and worker privacy rights are protected.

LABOR

We expect our Supplier Partners’ commitment to uphold the human rights of workers and to treat them with dignity and respect. We expect our Supplier Partners to:

  • Never use forced, bonded, or indentured labor, or involuntary prison labor.
  • Never use child labor. Young workers below the age of 18 can only be employed in non-hazardous work and when they are above a country’s legal age for employment, or the age established for completing compulsory education.
  • Provide a workplace free of harassment and discrimination. Suppliers will not discriminate for reasons such as race, color, age, gender, sexual orientation, ethnicity, disability, religion, political affiliation, union membership, or marital status.
  • Provide a workplace free of harsh and inhumane treatment, including any sexual harassment, sexual abuse, corporal punishment, mental or physical coercion or verbal abuse of workers, and no threat of any such treatment.
  • Pay workers according to applicable wage laws, including minimum wages, overtime hours, and mandated benefits.
  • Communicate timely with the worker the basis on which they are being compensated, whether overtime is required, and the wages to be paid for such overtime.
  • Encourage open communication and direct engagement with workers to resolve workplace and compensation issues.
  • Respect the rights of workers, according to local laws, to associate freely, join or not join labor unions, seek representation, and join workers’ councils. Allow workers to communicate openly with management regarding working conditions without threat of reprisal, intimidation, or harassment.

HEALTH & SAFETY

We expect our Supplier Partners to provide a safe and healthy working environment, including for any company-provided living quarters. We expect our Supplier Partners to:

  • Protect workers from over-exposure to chemical, biological, physical hazards, and physically demanding tasks in the workplace and in any company-provided living quarters.
  • Have programs in place to prevent or mitigate catastrophic releases of chemicals.
  • Identify and assess emergency situations in the workplace and any company provided living quarters, and to minimize their impact by implementing emergency plans and response procedures.
  • Make available safety information relating to hazardous materials and educate, train, and protect workers from hazards.

ENVIRONMENT

We expect our Supplier Partners to operate in an environmentally responsible and efficient manner to minimize adverse impacts on the environment. We expect our Supplier Partners to:

  • Conserve energy and natural resources, avoid the use of hazardous materials where possible, and engage in activities that reuse and recycle materials.
  • Comply with all applicable environmental regulations. Obtain all required environmental permits, licenses, information registrations, and restrictions and follow their operational and reporting requirements.
  • Have systems in place to ensure the safe handling, movement, storage, recycling, reuse, or management of waste, air emissions, and wastewater discharges. Appropriately manage, control and treat, prior to release into the environment, any waste, wastewater, or emissions with the potential to adversely impact human or environmental health.
  • Have systems in place to prevent and mitigate accidental spills and releases of fuels, raw materials, chemicals, intermediates, products, and other hazardous materials to the environment.

MANAGEMENT SYSTEMS

We expect our Supplier Partners to use management systems to facilitate continual improvement and compliance with the expectations of these principles. We expect our Supplier Partners to:

  • Demonstrate commitment to the concepts described in this document by allocating appropriate resources.
  • Identify and comply with applicable laws, regulations, standards, and relevant customer requirements.
  • Have mechanisms to determine and manage risks in all areas addressed by this document.
  • Maintain documentation necessary to demonstrate conformance with these expectations and compliance with applicable regulations.
  • Have a training program that achieves an appropriate level of knowledge, skills and abilities in management, and workers to address these expectations.
  • Continually improve by setting performance objectives, executing implementation plans, and taking necessary corrective actions for deficiencies identified by internal or external assessments, inspections, and management reviews.
